Framework: IS → CFS → BS, linked through net income and cash

The three statements are the income statement, cash flow statement, and balance sheet. They are tightly linked. The income statement shows revenue minus expenses to arrive at net income over a period. Net income flows in two directions: it increases retained earnings on the balance sheet, and it is the starting point for the cash flow statement. The cash flow statement adjusts net income for non-cash items such as depreciation and amortization, changes in working capital such as AR, inventory, and AP, and investing and financing activity to arrive at the change in cash. Its three sections are operating, investing, and financing activities. The ending cash balance flows to the balance sheet. The balance sheet is a point-in-time snapshot governed by assets = liabilities + shareholders' equity. Cash reflects the CFS output. Net PP&E falls with depreciation unless offset by capital expenditures. Retained earnings accumulates net income less dividends and other direct adjustments.

Framework: Work IS → CFS → BS in order. Net income effect = depreciation × (1 − tax rate)

Work through each statement in order: Income Statement: Depreciation is a non-cash expense. EBIT falls by $10. Taxes decrease by $4 (40%), so net income decreases by $6. Cash Flow Statement: Net income is down $6, but we add back the full $10 depreciation as a non-cash item. Cash from operations increases by $4 net. Balance Sheet: On the asset side, PP&E decreases by $10 (accumulated depreciation rises). Cash increases by $4. Total assets change: −$10 + $4 = −$6. On the liability and equity side, retained earnings decreases by $6 (from lower net income). Change in L+E: −$6. Balanced.

Framework: Net WC = (AR + Inventory) − (AP + Accrued Liabilities)

Working capital = current assets − current liabilities. In finance, we typically use operating net working capital, which strips out cash and debt because those are financing items: NWC = (Accounts Receivable + Inventory + Other Operating Current Assets) − (Accounts Payable + Accrued Liabilities). An increase in NWC is a use of cash. For example, when a company builds inventory, it spends cash before recognizing the sale. A decrease in NWC is a source of cash, such as when the company collects receivables faster. In a DCF model, changes in NWC directly reduce or add to free cash flow. This explains why a profitable company can still run short of cash: rapid growth often requires working capital investment before customers pay. Some businesses, including subscription companies paid upfront and certain retailers, operate with structurally negative working capital because customers help fund operations before delivery.

Framework: IS + BS → back into CFS from changes in balance sheet accounts

I would choose the income statement and balance sheet because together they let me approximate much of the cash flow statement. Start with net income, then use period-over-period changes in operating balance sheet accounts such as AR, inventory, AP, and accrued liabilities to estimate working capital effects. Add back identifiable non-cash expenses. Changes in net PP&E, combined with disclosed depreciation, can provide a rough capex estimate. Changes in debt and equity balances help explain financing activity. This is only an approximation. Acquisitions and disposals, foreign-exchange effects, non-cash financing, asset write-offs, lease activity, and accounting reclassifications may not be recoverable without the cash flow statement and footnotes. The correct interview conclusion is that the income statement and balance sheet reveal the main bridge, but they do not always support a complete reconstruction.

Framework: Cash: record when paid/received. Accrual: record when earned/incurred.

Under cash-basis accounting, revenue is recorded when cash is received and expenses when cash is paid. Under accrual accounting, revenue is recorded when the earning criteria are satisfied, and expenses are recognized when incurred, regardless of cash timing. U.S. public companies report under accrual-based GAAP. This is why the income statement and cash flow statement often diverge. A company can record a large sale and significant profit yet produce weak operating cash flow if customers have not paid. Those uncollected amounts remain in accounts receivable. The most important implications for finance are that AR represents revenue earned but not yet collected, AP represents expenses incurred but not yet paid, and deferred revenue represents cash received before the related performance obligation is satisfied. Each creates a structural difference between net income and cash flow.

Framework: Comps (market) → Precedents (transaction) → DCF (intrinsic)

The three core methodologies are: 1. Comparable Company Analysis ("Trading Comps"): Values a company based on how similar public companies currently trade on multiples such as EV/EBITDA, EV/Revenue, or P/E. It reflects real-time market sentiment, so sector-wide overvaluation or undervaluation affects the result. 2. Precedent Transactions ("Deal Comps"): Uses multiples paid in prior M&A transactions for comparable businesses. Transaction values may exceed unaffected trading prices because buyers can pay for control, synergies, scarcity, or competitive tension. The size of that premium varies materially by deal, market, and measurement date, so it should not be treated as a fixed percentage. 3. Discounted Cash Flow (DCF): Derives intrinsic value by projecting unlevered free cash flows and discounting them at WACC. It provides a fundamental view but is highly sensitive to operating, discount-rate, and terminal-value assumptions. Bankers usually present several methodologies together in a football-field chart. The goal is not to average them mechanically, but to understand why their implied ranges differ and which methods are most relevant to the company and transaction.

Framework: DCF for intrinsic/standalone value; comps for market-anchored benchmarking

Use a DCF when there are few reliable public comparables, long-term cash flows are reasonably forecastable, a temporary transformation makes current multiples less informative, or an intrinsic-value perspective is important. Fairness analyses and long-duration businesses with visible cash flows often place meaningful weight on DCF results. Use trading comps when there are close public peers, you need a market-anchored reference, or cash flows are too uncertain for a defensible long-range forecast. Comps are especially relevant when current market pricing is central to the decision, such as an IPO or public-company valuation. In practice, bankers commonly run both and explain the differences. An LBO is a separate, returns-based analysis built around entry valuation, leverage, cash generation, debt paydown, and exit assumptions. A DCF can serve as a cross-check, but it is not the defining valuation method for an LBO.

Framework: Business model → Size → Growth → Margins → Geography

In order of importance: 1. Business model similarity: Look for the same industry, a comparable product or service mix, and similar customer types such as B2B versus B2C or enterprise versus SMB. If the business models differ meaningfully, the multiples may not be comparable. 2. Size: Compare revenue, EBITDA, enterprise value, and market capitalization. Larger companies may benefit from scale, liquidity, and diversification, while smaller companies may carry concentration or execution risk. Avoid treating any fixed size band as a universal cutoff. 3. Growth profile: Compare revenue and EBITDA growth rates. Higher expected growth can support a higher multiple, so mixing fast and slow growers without explanation distorts the analysis. 4. Margin structure: Compare gross, EBITDA, EBIT, and free-cash-flow margins. This matters because companies with similar EBITDA but different capital intensity or cash conversion may deserve different valuations. 5. Geographic exposure and risk: Consider country mix, currency exposure, regulation, customer concentration, cyclicality, and other structural risks. Perfect comps rarely exist. Select the most relevant set, disclose important differences, and use judgment rather than implying false precision.

Framework: Growth, margin quality, competitive position, revenue predictability, capital intensity

Multiple dispersion within an industry is driven by several factors: Growth: Investors pay for future earnings power, not only current EBITDA, so stronger expected growth can support a higher multiple. The quality and durability of growth matter as much as the headline rate. Margin quality and ROIC: Higher margins and returns on invested capital can signal a structurally better business, but cash conversion and reinvestment needs must also be considered. Revenue predictability: Contracted, recurring, or diversified revenue may deserve a premium to transactional or concentrated revenue when it genuinely reduces risk. Capital intensity: A high-capex business converts less EBITDA to free cash flow. EV/EBITDA can therefore look inexpensive while EV/FCF is not. Competitive positioning: Pricing power, switching costs, network effects, brand strength, and durable customer relationships can support a premium. Risk and capital structure: Leverage, cyclicality, customer concentration, governance, and regulatory exposure can reduce the multiple even when operating metrics look similar.

Framework: Project FCFs → Calculate WACC → Terminal Value → Discount → Bridge to equity value

A DCF values a company by discounting projected future free cash flows to the present at the weighted average cost of capital. Step 1: Project unlevered free cash flow. Start with EBIT, calculate NOPAT as EBIT × (1 − tax rate), add back non-cash D&A, subtract capex, and subtract increases in net working capital. Forecast a period that is long enough for the company to approach a sustainable operating state. Step 2: Calculate WACC. Weight the cost of equity and after-tax cost of debt by their market-value proportions in the capital structure. Step 3: Calculate terminal value. Use either the Gordon Growth formula, FCF_n × (1 + g) / (WACC − g), or an exit multiple applied to a relevant final-year metric. Check that the perpetuity growth rate is economically sustainable and that the implied exit multiple is reasonable. Step 4: Discount the annual cash flows and terminal value to the valuation date using WACC. Their sum is enterprise value. Step 5: Bridge to equity value. Add non-operating assets such as excess cash, subtract debt and other debt-like claims, and adjust for noncontrolling interests or investments as applicable. Divide by diluted shares outstanding for implied value per share. Finish with sensitivity tables and sanity checks against trading comps, precedent transactions, and the company's operating reality.

Framework: WACC = (E/V × Ke) + (D/V × Kd × (1 − T))

WACC is the blended required return across a company's debt and equity capital, weighted by market value. It is the discount rate for unlevered free cash flow when the cash flow and capital structure assumptions are consistent. Formula: WACC = (E/V × Ke) + (D/V × Kd × (1 − T)) Where E is market value of equity, D is market value of debt, V is E + D, Ke is cost of equity, Kd is pretax cost of debt, and T is the applicable marginal tax rate. Cost of equity is commonly estimated with CAPM: Ke = Rf + β × equity risk premium. Select the risk-free rate, equity risk premium, and beta consistently with the currency, geography, and risk of the projected cash flows. For a private company, unlever peer betas and relever the median or selected beta to the target capital structure. Cost of debt should reflect the company's current marginal borrowing cost, not simply the coupon on legacy debt. Apply the tax shield only to the extent interest deductions are expected to be usable. Common errors include using book equity instead of market equity, mixing nominal and real assumptions, mismatching currencies, and using a peer beta without adjusting for leverage.

Framework: Gordon Growth: FCF × (1+g) / (WACC − g) | Exit Multiple: EBITDA × multiple

There are two standard methods: Gordon Growth Model: Terminal Value = FCF_n × (1 + g) / (WACC − g), where g is the sustainable nominal growth rate in perpetuity. The rate should be consistent with the cash-flow currency, inflation expectations, industry maturity, and long-run economic capacity. It must remain below WACC. Exit Multiple Method: Apply a selected valuation multiple, commonly EV/EBITDA or EV/EBIT, to the corresponding final-year metric. Anchor the multiple in relevant market evidence, then check whether the implied terminal growth, margins, and returns are sensible. Do not assume today's multiple will automatically persist. I would calculate both. The Gordon Growth method provides an intrinsic cross-check, while the exit multiple method connects the terminal value to market evidence. If the outputs differ materially, explain which assumptions drive the gap rather than choosing the more favorable result.

Framework: Terminal value sensitivity, WACC sensitivity, projection quality, market disconnect

The DCF is powerful but has significant limitations: 1. Terminal-value concentration: Terminal value can account for a large share of enterprise value, so uncertain assumptions far beyond the explicit forecast period can dominate the result. 2. Discount-rate sensitivity: Changes in beta, the equity risk premium, the risk-free rate, capital structure, or tax assumptions can materially change value. WACC is an estimate, not an observable fact. 3. Forecast risk: The model is only as credible as its operating assumptions. Early-stage, highly cyclical, rapidly changing, or distressed businesses may not support a defensible long-range forecast. 4. False precision: A detailed spreadsheet can hide weak assumptions. Use ranges, scenarios, and sensitivities rather than presenting one output as exact. 5. Limited treatment of optionality: A standard DCF may understate contingent opportunities such as a biotech pipeline, undeveloped real estate, or expansion into adjacent markets. 6. Market disconnect: An intrinsic value can differ sharply from current trading prices. That may reveal an opportunity, or it may indicate that the forecast omits risks already reflected by the market.

Framework: Scale, capabilities, vertical integration, synergies, financial engineering

Acquisitions happen for strategic and financial reasons. Strategic reasons include gaining scale or market share, adding technology or talent that would be difficult to build internally, integrating suppliers or distribution, and entering new markets or product categories. Financial reasons include realizing cost or revenue synergies, improving the combined growth or margin profile, deploying capital into an attractive return opportunity, and using the buyer's financing capacity or tax attributes efficiently. EPS accretion can be an outcome, but it does not by itself prove that a deal creates value. Poor reasons also occur, including management empire-building, buying growth to mask organic decline, or overpaying in a competitive auction. A strong answer separates strategic rationale from the price paid and the execution risk required to realize value.

Framework: Goodwill = Purchase Price − Fair Value of Net Identifiable Assets

Goodwill is an intangible asset created in an acquisition when the purchase consideration, plus applicable noncontrolling interests and prior holdings, exceeds the fair value of identifiable net assets acquired. In purchase price allocation, the buyer first records identifiable tangible assets and liabilities and separately identifiable intangible assets such as customer relationships, technology, trademarks, or patents at fair value. The residual is goodwill. It can reflect expected synergies, the assembled workforce, market position, and other benefits that do not qualify as separate assets. Simple example: if the relevant purchase amount is $100M and identifiable net assets are worth $60M at fair value, the residual goodwill is $40M. Under U.S. GAAP, goodwill is generally not amortized for public-company reporting and is tested for impairment at least annually or when triggering events occur. An impairment creates a non-cash expense and can indicate that expected economics have deteriorated, though the accounting result depends on the applicable reporting framework and test.

Framework: Accretive if earnings yield of target > after-tax cost of acquisition financing

An accretion/dilution analysis compares the acquirer's standalone EPS to its pro forma EPS after closing the acquisition. If combined EPS is higher, the deal is accretive; if lower, dilutive. For a stock deal: accretive if the target's P/E is lower than the acquirer's P/E (the acquirer is "buying" earnings at a cheaper multiple than the market values its own). Dilutive if the acquirer's stock is cheap relative to the target. For a cash deal (debt-financed): accretive if the target's earnings yield (Net Income / Equity Purchase Price) exceeds the after-tax cost of debt used to fund it. If the target earns more on the capital than the interest cost, EPS increases. Synergies can flip an initially dilutive deal to accretive once cost savings or revenue upside are realized. Important caveat: EPS accretion does not equal value creation. A deal can be accretive while still destroying economic value if the acquirer overpays and earns a return below its cost of capital. Bankers run accretion/dilution analysis as a metric, but IRR and NPV of synergies are more meaningful measures of value.

Framework: Cash: taxable, no dilution, adds debt. Stock: tax-free option, dilutive, no debt.

In a cash deal, the acquirer pays cash to target shareholders. The purchase can be funded with cash on hand, new debt, or a mix. In a stock deal, the acquirer issues shares to target shareholders, who then participate in the combined company. Many transactions use both forms of consideration. Key differences: Tax: Cash consideration generally triggers current gain recognition for selling shareholders, while qualifying stock transactions may defer tax under applicable rules. The exact treatment depends on structure and jurisdiction. Risk sharing: Stock consideration leaves target shareholders exposed to the combined company's future upside and downside. Cash provides greater value certainty at closing. Dilution and leverage: Stock increases the acquirer's share count. Cash funded with borrowing increases leverage, while cash on hand reduces liquidity. Valuation and control: The exchange ratio, collar provisions, ownership split, and voting rights matter in stock deals. Both sides must assess the acquirer's share value rather than treating stock as costless currency.

Framework: Buy with debt, improve operations, repay debt with cash flows, exit at a profit

A leveraged buyout is an acquisition, typically led by a private equity sponsor, that uses debt alongside sponsor equity to fund the purchase. The acquired company's assets and future cash flows support the debt. The debt and equity mix varies with credit markets, business stability, purchase price, lender protections, and the company's ability to service debt. Financing may include revolving credit, term loans, secured or unsecured notes, and other layers depending on the transaction. The sponsor aims to buy at a defensible valuation, grow or improve the business, convert earnings into cash, reduce debt, and exit to a strategic buyer, another sponsor, or public investors. Leverage can amplify equity returns, but it also increases downside risk and reduces operating flexibility. Success is commonly evaluated using IRR and MOIC. Target returns differ by strategy, risk, hold period, market conditions, and fund mandate, so avoid presenting one hurdle rate as universal.

Framework: Stable FCF → Strong margins → Defensible position → Improvement potential → Clear exit

PE firms look for these characteristics: 1. Stable, predictable free cash flows: Debt must be serviced regardless of business conditions. Highly cyclical businesses with volatile cash flows are poor LBO candidates. 2. Strong margins and low capex requirements: High EBITDA margins and limited reinvestment needs mean more cash is available for debt repayment rather than being consumed by the business. 3. Defensible market position: Pricing power, loyal customers, or switching costs protect cash flows and margins under new ownership with significant leverage. 4. Clear operational improvement opportunities: PE firms add value through cost rationalization, bolt-on acquisitions, geographic expansion, or pricing optimization. They need a thesis for how to grow EBITDA. 5. Reasonable entry valuation: Paying a sensible multiple limits required leverage and creates margin of safety. 6. Asset-light model: Businesses that don't require heavy ongoing capital investment can direct more cash to debt repayment. 7. Multiple viable exit paths: The sponsor should be able to identify credible strategic buyers, other financial sponsors, or a potential public-market route within the expected hold period. Classic examples include mature consumer brands, SaaS businesses with high retention, business services companies, healthcare services, and specialty distribution.

Framework: EBITDA growth + Multiple expansion + Debt paydown = LBO equity return

LBO equity returns come from three main levers: 1. EBITDA growth: Revenue growth and margin expansion can increase exit enterprise value. This is usually the most operationally defensible source of value creation. 2. Multiple change: Selling at a higher multiple than the entry multiple increases returns, while multiple contraction reduces them. Because market multiples are difficult to control, a prudent base case often assumes no expansion unless there is a specific reason. 3. Debt paydown: Free cash flow used to repay debt increases the equity residual if enterprise value is unchanged. Simple illustration: buy a company for $100M with $70M of debt and $30M of equity. If it is later worth $110M and debt has fallen to $50M, equity is worth $60M. That is a 2× MOIC, with value coming from both the $10M enterprise-value increase and $20M of debt reduction. A return bridge should separate these drivers rather than attributing all of the gain to deleveraging.

Framework: Sources & Uses → Debt Schedule → Operating Model → Exit → Returns

An LBO model has five core components: 1. Sources & Uses: Determine the total purchase price (entry multiple × LTM EBITDA + net debt). "Uses" shows where the money goes: acquire equity, refinance existing debt, pay transaction fees. "Sources" shows how it's funded: senior secured term loans, revolving credit facility, high-yield bonds, mezzanine debt, and PE equity. Sources must equal uses. 2. Debt schedule: Model each debt tranche with its interest rate (fixed or floating), mandatory amortization requirements, cash sweep provisions, and repayment priority. Run for the full hold period. Available free cash flow is swept to pay down the most senior debt first. 3. Operating model: Project P&L and cash flows. Revenue and EBITDA are driven by operating assumptions. Subtract interest expense (from the debt schedule), taxes, capex, and working capital changes to arrive at free cash flow available for debt service. 4. Exit: Apply an exit EV/EBITDA multiple (often similar to entry, sometimes sensitized) to the final projection year's EBITDA. Subtract remaining debt to calculate equity proceeds. 5. Returns: Calculate IRR (the rate that equates initial equity invested to exit equity proceeds, accounting for timing) and MOIC (exit equity / initial equity). Key sensitivities: entry multiple, exit multiple, revenue growth rate, EBITDA margin, and leverage ratio.

Framework: Origin story → Why IB specifically → Where it takes you

A strong answer has three components: 1. A genuine origin story: explain the specific experience that sparked your interest, such as a transaction you studied, an internship, a class project, or a conversation with a banker. Avoid claiming you have "always loved finance" without evidence. 2. A logical connection to the work: identify what attracts you to transaction exposure, analytical rigor, client service, sector learning, or team-based execution. Be precise about the parts of the job you understand and value. 3. A forward-looking rationale: explain how the skills and responsibilities fit a credible longer-term direction without treating banking as merely a credential or a guaranteed route to another job. Avoid leading with compensation, Excel, prestige, or generic learning claims. Those answers could apply to many jobs and do not demonstrate an informed choice.

Framework: Specific capabilities + People you've met + Fit with your goals

Weak answers rely on rankings or prestige alone. Strong answers are specific and demonstrate genuine research. Cover three points: first, identify something relevant about the bank's recent transactions, sector strength, product capabilities, or strategic direction. Second, explain what you learned from credible conversations or public materials. Third, connect this platform to the kind of work, development, and responsibility you are seeking. Before the interview, review recent press releases, transaction announcements, leadership commentary, and the group's sector or product focus. If you have spoken with employees, reference the substance of those conversations rather than name-dropping. Avoid claims that could apply unchanged to every major bank.

Framework: Education → Most relevant experience → Supporting experiences → Why IB now

This is your 90-second professional narrative. Do not recite resume bullets because the interviewer can already read them. Instead, tell a coherent story that explains the choices, experiences, and results that led you to this interview. Start briefly with your academic or early-career foundation. Spend most of the time on the one or two experiences most relevant to banking, emphasizing decisions, impact, and what you learned. Close by connecting that evidence to this role and firm. Common mistakes include exceeding two minutes, overexplaining early experience, listing responsibilities without outcomes, and delivering a memorized monologue. Practice the structure, but vary the wording so the answer remains conversational.

Framework: STAR: Situation → Task → Action (your specific decisions) → Result (quantified)

Use the STAR framework and choose an example with genuine stakes, a tight timeline, and a clear consequence. A busy week is not enough unless you can explain the priority conflict and the decisions you made. Strong examples include rebuilding a deliverable after new information arrived, covering a critical workstream when a teammate became unavailable, or finding a data problem shortly before a presentation. Focus on your triage, tradeoffs, quality controls, and stakeholder communication. Quantify the result where possible and include what you learned. The evidence should demonstrate judgment under pressure, not merely long hours.

Framework: Parties + Strategic rationale + Structure + Market reaction + Your view

This question tests market awareness and genuine intellectual curiosity. Prepare one or two recent transactions, ideally in the sector or product group relevant to the interview. A strong answer explains the parties, strategic rationale, announced consideration, financing or exchange structure, valuation context, market reaction, status, and principal execution risks. Separate confirmed facts from your interpretation. If a multiple or synergy estimate was not publicly disclosed, say so rather than guessing. Use reliable sources such as company filings and announcements, regulatory materials, Reuters, Bloomberg, the Financial Times, or The Wall Street Journal. Recheck the transaction shortly before the interview because price, financing, shareholder votes, and regulatory status can change. Finish with your own view: what would need to be true for the deal to create value, and what evidence would change your conclusion?

Framework: Credible direction → skills to build → contribution → room to learn

Give a credible direction rather than a rigid title prediction. Explain the capabilities you want to build, the responsibility you hope to earn, and the kind of problems or clients you want to serve. Then connect those goals to the training and transaction exposure available in the role. A strong answer might say that in five years you want to be trusted to own substantial parts of an execution process, communicate directly with clients, and develop deeper expertise in a sector or product. If you are genuinely open about the exact path, say that your near-term direction is clear while later choices will depend on the work you prove strongest at and enjoy most. Avoid presenting banking as a short credential before an already-decided exit, promising a title on an unrealistic timeline, or claiming certainty you do not have. The answer should show commitment to doing the role well and a thoughtful view of professional growth.
